By accessing our website or commissioning a service engagement, you agree to be bound by these Terms & Conditions. Use of our services is limited to individuals who are 18 years of age or older and have the capacity to enter into a legally binding agreement. If you are accepting these terms on behalf of an organisation, you confirm that you have the authority to do so.

3. Service Description

Persana provides structured consulting engagements in the areas of HR analytics, AI application in recruitment, and HR data quality assessment. Each engagement is bounded in scope and defined in a written scope document agreed with the client before work commences. Services are available to organisations operating in Singapore and, at our discretion, in the broader Asia-Pacific region.

5. Intellectual Property

All methodologies, frameworks, and tools used by Persana remain the intellectual property of Persana. Deliverables produced for a client engagement are licensed to the client for internal use. Clients may share deliverables internally and with relevant advisers, but may not publish or commercially reproduce them without our written consent.

6. Payment Terms

Engagement fees are as follows: HR Data Quality Assessment — SGD 460; AI-Assisted Recruitment Process Review — SGD 980; Talent Analytics & Workforce Planning — SGD 2,100. All fees are quoted and payable in Singapore Dollars. An invoice will be issued at the commencement of each engagement, with payment due within 14 calendar days. Work will not begin until payment has been received.

Fees are non-refundable once analytical work has commenced. If a client cancels an engagement prior to commencement, a cancellation fee of 25% of the engagement fee applies to cover scoping costs.

7. Service-Specific Terms

Each engagement is governed by a written scope document that defines: the specific questions or areas to be addressed; the data or documentation required from the client; the deliverables to be produced; and the timeline. Variations to scope during an engagement must be agreed in writing by both parties.

Our services are provided in good faith and to the best of our professional ability, using the information provided by the client. Our findings and recommendations are analytical outputs, not legal, financial, or regulatory advice. Persana does not warrant that the implementation of our recommendations will produce specific commercial outcomes. Clients are responsible for decisions made on the basis of our deliverables.

9. Limitation of Liability

To the maximum extent permitted by Singapore law, Persana's liability arising out of or in connection with any engagement is limited to the fee paid for that engagement. We exclude liability for indirect, consequential, or economic loss arising from the use of our deliverables. Nothing in these terms limits liability for fraud or for death or personal injury caused by negligence.

10. Confidentiality

Both parties agree to maintain the confidentiality of information shared in connection with an engagement. We will not share client data or engagement details with third parties except as required by law or as agreed in writing. Clients will not disclose our methodologies, tools, or unpublished findings to competitors or use them to develop competing services.

11. Termination

Either party may terminate an engagement by giving written notice if the other party is in material breach of these terms and fails to remedy the breach within 14 days of written notice. Persana may also suspend or terminate access to our website for any individual who violates these terms. Termination does not affect any rights or obligations accrued prior to the date of termination.

12. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of Singapore. Any dispute arising from or in connection with an engagement will first be subject to good-faith informal resolution between the parties. If not resolved within 30 days, disputes will be referred to mediation under the Singapore Mediation Centre before recourse to the courts.

13. Changes to These Terms

We may update these Terms & Conditions from time to time. Material changes will be communicated to active clients via email. Continued use of our services after the effective date of any change constitutes acceptance of the updated terms.
